1. About Acren
Acren provides commercial real estate research technology that helps users search properties, review public and licensed data, research ownership and entities, organize supporting records, prioritize properties for further research, and manage acquisition-related research workflows.
Acren is a research tool. Acren does not provide legal, tax, investment, appraisal, brokerage, title, environmental, engineering, accounting, or other professional advice.
2. Eligibility
You may use the Site only if you are legally capable of entering into a binding agreement and your use complies with applicable law.
If you use the Site on behalf of an organization, you represent that you have authority to act on that organization's behalf.
3. Accounts and Product Access
Some Acren features require an approved account.
You are responsible for maintaining the confidentiality of your account credentials and for activity occurring through your account.
You may not share credentials except as expressly permitted by Acren.
Access to authenticated Acren services may also be governed by an order form, subscription agreement, master services agreement, data terms, or other agreement between Acren and you or your organization. If those terms conflict with these Terms concerning the paid or authenticated service, the applicable customer agreement controls for that service.
4. Property and Public-Record Information
Acren may display or process information obtained from public records, government sources, licensed data providers, third-party sources, user-provided information, and Acren's own processing.
Public records and third-party datasets may be incomplete, delayed, inaccurate, inconsistent, incorrectly indexed, misidentified, outdated, or unavailable.
A record appearing in Acren does not establish that the underlying information is complete, current, correct, or legally determinative.
Users should verify material information against appropriate primary sources before relying on it.
5. Data Accuracy and Verification
Acren aggregates and processes information from public records, government sources, licensed datasets, third-party providers, and other sources.
Those sources may contain errors, omissions, outdated information, conflicting records, incorrect identifiers, incomplete histories, or other inaccuracies.
Acren's normalization, matching, entity-resolution, ranking, and other processing may also produce errors, uncertain results, or incorrect associations.
Acren does not guarantee that any property fact, ownership record, entity relationship, financial record, permit, court record, environmental record, Research Priority, confidence score, or other information is accurate, complete, current, or suitable for a particular decision.
Users should review supporting records and independently verify material information with appropriate primary sources and professional advisers before taking consequential action.
6. Observed and Derived Information
Acren may distinguish between information directly observed in source records and information derived through normalization, matching, entity resolution, relationship analysis, ranking, or other processing.
Derived information may include candidate relationships, possible entity matches, portfolio associations, confidence measures, and other research conclusions.
Derived information is not necessarily a statement of established fact.
Terms such as "candidate," "possible," "likely," "confidence," "needs review," and similar labels indicate uncertainty and should be interpreted accordingly.
7. Ownership Information
Acren may identify recorded owners and may attempt to connect recorded owner names with entity registrations, related entities, parent organizations, or other properties.
A recorded owner is not necessarily the same as a beneficial owner, controlling person, economic owner, or ultimate parent.
Ownership and entity-resolution results may be incorrect or incomplete, particularly where source records use inconsistent names, addresses, entities, or filing histories.
Candidate ownership or entity relationships should not be treated as confirmed unless adequately supported and independently verified where appropriate.
8. Research Priority
Acren may provide a "Research Priority" or similar ranking to help users order properties for further research.
Research Priority is a research-workflow tool.
It does not represent or predict:
- seller intent;
- likelihood that a property will be sold;
- owner motivation;
- investment quality;
- expected investment return;
- property value;
- creditworthiness; or
- whether a transaction should be pursued.
Research Priority may be affected by incomplete, delayed, conflicting, inaccurate, or unavailable source data and should not be interpreted as a complete assessment of a property.
Users remain responsible for their own investment, acquisition, underwriting, diligence, and business decisions.
9. No Investment or Professional Advice
Nothing on the Site constitutes a recommendation to purchase, sell, finance, lease, develop, or otherwise transact with respect to any property, security, business, or other asset.
Acren does not act as your broker, investment adviser, attorney, appraiser, title company, environmental consultant, engineer, accountant, lender, or fiduciary.
10. Prohibited Consumer and FCRA Uses
Acren is designed for commercial property research and is not a consumer reporting agency.
You may not use Acren or information obtained through Acren to determine or assist in determining any person's eligibility for:
- credit;
- employment;
- housing or tenancy;
- insurance;
- consumer lending;
- government benefits; or
- any other purpose regulated by the Fair Credit Reporting Act or similar law.
You may not use Acren to conduct consumer background checks, tenant screening, employment screening, or other regulated consumer-reporting activities.
11. Prohibited Uses
You may not:
- use the Site unlawfully;
- attempt to gain unauthorized access to Acren systems or accounts;
- circumvent access, usage, export, or technical restrictions;
- scrape, crawl, harvest, or systematically extract Site content except as expressly permitted;
- redistribute restricted or licensed data without authorization;
- use Acren data to create a competing database or data product in violation of applicable rights or agreements;
- interfere with Site operation or security;
- introduce malware or harmful code;
- misrepresent Acren-derived or candidate information as verified fact;
- use Acren for prohibited consumer-screening purposes;
- use the Site to harass, stalk, discriminate against, or unlawfully target individuals; or
- use Acren in violation of third-party data rights or applicable law.
12. Illustrative and Demonstration Content
Some Site content may use fictional, synthetic, modified, or illustrative properties, records, entities, scores, documents, or relationships to demonstrate Acren functionality.
Illustrative content is not intended to describe an actual property, owner, entity, transaction, or public record unless expressly identified otherwise.
13. Third-Party Sources and Links
Acren may link to government websites, public-record systems, data providers, or other third-party services.
Acren does not control those services and is not responsible for their availability, accuracy, security, or content.
Third-party terms may apply.
14. Intellectual Property
The Site, including its software, interface, designs, graphics, text, organization, methodologies, and other Acren-created materials, is owned by Acren or its licensors and is protected by applicable intellectual-property laws.
Except as expressly permitted, these Terms do not grant you a right to copy, reproduce, modify, distribute, sell, sublicense, or create derivative works from Acren's proprietary materials.
15. Feedback
If you voluntarily provide feedback, suggestions, or ideas concerning Acren, you grant Acren permission to use that feedback to develop and improve its products and services without restriction or compensation to you, subject to applicable law.
16. Availability and Changes
Acren may add, modify, suspend, or discontinue Site functionality, data sources, coverage, or features.
Coverage and data availability may vary by jurisdiction, source, property type, and time.
Acren does not guarantee continuous availability of any particular record, source, jurisdiction, or feature.
17. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE AND ITS CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE."
ACREN DISCLAIMS WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, AND CONTINUOUS AVAILABILITY TO THE EXTENT PERMITTED BY LAW.
Acren does not warrant that any property record, ownership relationship, entity match, ranking, source record, or other information is complete, current, accurate, error-free, or appropriate for any particular transaction.
18. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ACREN AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL ARISING FROM OR RELATED TO YOUR USE OF THE SITE.
Any additional limitations applicable to paid services may be stated in the applicable customer agreement.
19. Indemnification
To the extent permitted by law, you agree to indemnify and hold harmless Acren and its affiliates, officers, directors, employees, and agents from claims, liabilities, damages, and reasonable costs arising from your unlawful use of the Site, violation of these Terms, or violation of third-party rights.
20. Suspension and Termination
Acren may restrict or terminate access where reasonably necessary to address violations of these Terms, security concerns, unlawful activity, misuse of data, or risks to Acren, its users, or third parties.
21. Changes to These Terms
We may update these Terms from time to time.
The updated Terms will be posted with a revised "Last Updated" date. Where required by law, we will provide additional notice.
22. Governing Law and Venue
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles.
Any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction and venue of those courts.
